IMPORTANT AS-IS SALE NOTICE
Pallet Finds sells liquidation, return, overstock, shelf-pull, salvage, and other secondary-market merchandise. Every pallet, lot, and individual item is sold AS IS, WHERE IS, WITH ALL FAULTS, with no guarantee of condition, quantity, completeness, merchantability, fitness for a particular purpose, or resale value, except to the extent a specific written guarantee is included in the listing or these limitations are prohibited by law. Missing, damaged, incomplete, nonworking, expired, opened, used, mislabeled, or otherwise defective merchandise should be expected. Please read Sections 3 through 7 carefully before buying.
1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you and Pallet Finds ("Pallet Finds," "we," "us," or "our") governing your access to our website, accounts, alerts, reservations, purchases, pickup, delivery, and related services (collectively, the "Services"). By creating an account, making a reservation or purchase, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and able to enter a binding contract. If you act for a company or other organization, you represent that you have authority to bind it.
2. Accounts and Information
You must provide accurate, current information and keep your login credentials secure. You are responsible for activity through your account and must promptly notify us of suspected unauthorized access. We may refuse, suspend, or close an account for fraud, abuse, nonpayment, unsafe conduct, violation of law, or violation of these Terms.
3. Nature of Liquidation Inventory
Liquidation inventory is inherently variable and may have an incomplete or unknown history. Packaging, labels, photos, retail prices, manifests, counts, model numbers, descriptions, estimated values, and condition grades may come from suppliers or limited inspection and may be inaccurate, incomplete, duplicated, or outdated.
A "raw" or "mystery" pallet has not been fully processed or itemized by Pallet Finds and must be treated as unknown merchandise. A "processed," "manifested," or described pallet may have received additional review, but any description is a good-faith, best-effort summary rather than a complete inventory, warranty, or promise that every pictured or listed item is present, authentic, complete, functional, lawful for every use, or in a particular condition. Unless a listing expressly states otherwise in writing, all pallets and lots should be considered mystery or unknown inventory.
Photos are representative of the pallet or lot at the time photographed but may not show every item, defect, missing part, or packaging issue. Retail or estimated values are informational estimates only and do not guarantee market value, profit, demand, or the price at which merchandise can be resold.
4. Buyer Inspection and Due Diligence
You are responsible for evaluating whether a pallet or item is suitable for your intended purchase, use, handling, transportation, repair, donation, or resale. Before buying, you should review all available information, ask questions, and inspect the merchandise when inspection is offered. After purchase and before use, transfer, donation, or resale, you must inspect and, where appropriate, test each product; verify identity, model, condition, completeness, authenticity, labeling, instructions, expiration dates, and legal requirements; and obtain any professional advice or licenses your activity requires.
Your decision to purchase must not rely on an assumption that a manifest, photo, description, estimated retail value, or employee statement is complete or error-free. Oral statements do not create a warranty or change these Terms. Any exception must be in a written agreement issued or approved by Pallet Finds.
5. Product Safety, Recalls, and Resale Compliance
Pallet Finds does not knowingly offer products that are recalled or unlawful to sell. Because inventory is secondary-market merchandise and may be unidentified or processed only in part, you must independently check applicable recall and safety information before using, repairing, gifting, donating, transferring, or reselling any product. Relevant sources may include the U.S. Consumer Product Safety Commission at CPSC.gov/Recalls, the National Highway Traffic Safety Administration at NHTSA.gov/Recalls, the U.S. Food and Drug Administration at FDA.gov/Safety/Recalls, manufacturers, and other regulators.
You must immediately stop the sale, transfer, donation, or use of any recalled, banned, counterfeit, unsafe, expired, or otherwise unlawful product and follow the manufacturer’s or regulator’s instructions. You are solely responsible for your resale listings, product claims, taxes, permits, labeling, warnings, repairs, customer service, returns, and compliance with consumer-protection, product-safety, environmental, transportation, marketplace, and other applicable laws. Nothing in these Terms authorizes the sale or distribution of a recalled, banned, or unlawful product. Please notify Pallet Finds promptly if you identify a safety or recall concern involving merchandise purchased from us.
6. AS-IS; Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL PALLETS, LOTS, AND MERCHANDISE ARE PROVIDED "AS IS," "WHERE IS," AND "WITH ALL FAULTS." PALLET FINDS DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AUTHENTICITY, CONDITION, QUALITY, QUANTITY, COMPLETENESS, SAFETY, AND RESALE OR PROFIT POTENTIAL.
We do not warrant that merchandise will work, include all parts, match a manifest or photograph, be free of defects or hazardous material, qualify for manufacturer support, or be lawful or suitable for your particular intended use or resale channel. Some jurisdictions do not allow certain warranty exclusions. In that event, the exclusion applies only to the fullest extent the law permits, and your non-waivable rights remain in effect.
7. Final Sales; Missing or Damaged Merchandise
Unless a listing, receipt, or separate written policy expressly states otherwise, all sales are final. Ordinary liquidation variances—including missing pieces, incorrect counts, damaged packaging, cosmetic or functional damage, incomplete sets, customer returns, signs of use, missing accessories, nonworking merchandise, and differences from estimated value—are accepted risks of the purchase and do not qualify for a refund, credit, chargeback, replacement, or price adjustment.
This section does not limit any remedy that cannot legally be waived or a specific written return or guarantee issued by Pallet Finds. If you believe a transaction error occurred, contact us promptly and preserve the merchandise, packaging, receipt, photos, and other relevant evidence.
8. Prices, Payment, Reservations, and Taxes
Prices, availability, quantities, reservation windows, deposits, and purchase limits may change before an order is accepted. A listing, cart, or reservation is not a completed sale until we accept payment or otherwise confirm the transaction. You authorize our payment provider to charge the amounts shown at checkout. You are responsible for applicable taxes, fees, and any bank or payment-provider charges.
We may cancel or correct a transaction affected by an obvious pricing, inventory, technical, payment, fraud, or listing error and will return amounts collected for merchandise we do not provide. Deposit, balance-due, cancellation, and storage terms shown at checkout or on the applicable listing or receipt are incorporated into these Terms.
9. Pickup, Delivery, Title, and Risk of Loss
You must follow the pickup or delivery instructions and deadlines provided for the transaction. You are responsible for having a safe, suitable vehicle, equipment, location, and personnel to load, secure, transport, unload, store, and handle the merchandise. We may refuse unsafe loading or release.
Except where applicable law or a written transaction term requires otherwise, title and risk of loss pass to you when the merchandise is released to you, your representative, or your carrier. You are responsible for loss or damage after that point. Unclaimed merchandise may be subject to storage charges, cancellation, or other disposition as disclosed at purchase and permitted by law.
10. Acceptable Use
You may not misuse the Services; interfere with their operation; attempt unauthorized access; scrape or automate access without permission; submit false, deceptive, or infringing content; evade purchase limits; commit fraud; harass others; or use the Services or merchandise in violation of law. Site content, branding, software, and designs remain the property of Pallet Finds or their respective owners and may not be copied or commercially exploited without permission.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PALLET FINDS AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, BUSINESS, OR RESALE OPPORTUNITY; OR LOSSES ARISING FROM MERCHANDISE CONDITION, CONTENT, USE, HANDLING, TRANSPORTATION, REPAIR, RECALL, OR RESALE.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF A PARTICULAR PALLET, LOT, TRANSACTION, OR EVENT WILL NOT EXCEED THE AMOUNT YOU PAID PALLET FINDS FOR THAT PALLET, LOT, OR TRANSACTION. These limitations do not apply to liability that cannot legally be limited, and nothing in these Terms excludes responsibility for fraud, willful misconduct, gross negligence, personal injury, or other liability to the extent exclusion is prohibited by applicable law.
12. Indemnification
To the extent permitted by law, if you purchase or act for business or resale purposes, you agree to defend, indemnify, and hold harmless Pallet Finds and its owners, employees, contractors, and agents from third-party claims, damages, penalties, recalls, costs, and reasonable attorneys’ fees arising from your handling, repair, labeling, advertising, representation, use, transfer, donation, or resale of merchandise; your violation of law; or your breach of these Terms. This obligation does not apply to the extent a claim was caused by conduct for which Pallet Finds cannot lawfully disclaim responsibility.
13. Third-Party Services
The Services may use or link to third-party payment, messaging, mapping, delivery, or other providers. Their separate terms and privacy practices apply to their services. Pallet Finds is not responsible for an unaffiliated third party’s systems or acts, except as required by law.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any court proceeding must be brought in a state or federal court with jurisdiction in Onondaga County, New York, unless applicable law gives you the right to bring it elsewhere. Before filing a claim, each party agrees to make a good-faith effort to resolve the issue by contacting the other party. Nothing in this section limits rights or remedies that cannot be waived under applicable law.
15. Changes and General Terms
We may update these Terms by posting a revised version and effective date. Material changes will apply prospectively, and we will provide any notice or obtain any consent required by law. Continued use after the effective date constitutes acceptance where permitted by law.
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and transaction-specific written terms are the entire agreement concerning the Services and supersede prior discussions on the same subject.
16. Contact Us
Questions, transaction concerns, or product-safety notices may be sent to orders@palletfinds.com or through the contact information provided on the Pallet Finds website. Include enough information for us to identify the relevant account and transaction.
